This Terms of Service (“Terms”) is a binding contract between you, an individual user or site visitor, whether personally or on behalf of an entity (“user,” “you,” “your”) and ARC Inc. (“ARC,” “we,” “us” or “our”) concerning your access and use of ARC’s services, including (i) the helloarc.ai website as well as any other media form, media channel, website or mobile website related, linked, or otherwise connected thereto (collectively, the “Site”), (ii) ARC Explorer, as further described below in the section titled “ARC Explorer”, (iii) Games made available by ARC, as further described below in the section titled “Games”, (iv) Identity Connect, as further described below in the section titled “Identity Connect”, (v) ARC Learn, as further described below in the section titled “ARC Learn,” and (vi) any application programming interfaces (“APIs”) made available by ARC (collectively, the “Service”). Currently, ARC maintains and operates arclabs.com as a portal for news, information, and updates about the ARC protocol or blockchain (the “ARC Network”) and the ARC ecosystem, and to provide access to certain ARC services, including ARC Explorer. For the avoidance of doubt, ARC does not control the ARC Network and cannot control activity and data on the ARC Network, including without limitation the activities of persons who develop and use applications on the ARC Network, the validation of transactions on the ARC Network, or any other use or access of the ARC Network. The ARC Network is an open-source protocol that is maintained and processed by ARC Network validators across the globe.
BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE THE SERVICE.
Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of the Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review the Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Service after the date such revised Terms is posted.
The information provided on the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. The Service is intended for users who are at least 18 years old. You agree that by using the Service you are at least 18 years of age (or the age of legal majority) or accessing the Service under the supervision of a parent or guardian, and you are legally able to enter into a contract. If you are a parent or legal guardian of a user under the age of 18 (or the age of legal majority), you agree to be fully responsible for the acts or omissions of such user in relation to the Service. If you use the Service on behalf of another person or entity, (a) all references to “you” throughout the Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person’s or entity’s behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us.
PLEASE NOTE:
THE “DISPUTE RESOLUTION” SECTION OF THESE TERMS CONTAINS AN ARBITRATION CLAUSE THAT REQUIRES DISPUTES TO BE ARBITRATED ON AN INDIVIDUAL BASIS, AND PROHIBITS CLASS ACTION CLAIMS. IT AFFECTS HOW DISPUTES BETWEEN YOU AND ARC ARE RESOLVED. BY ACCEPTING THESE TERMS, YOU AGREE TO BE BOUND BY THIS ARBITRATION PROVISION. PLEASE READ IT CAREFULLY.
ACCESS TO THE SERVICE
Subject to these Terms, we hereby grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable right and license to access and use the Service for your personal use only, strictly as permitted by the features of the Service. We reserve all rights not expressly granted herein.

(a) Content You Make Available Through the Service

By submitting, posting, displaying or otherwise making information, data, and/or other content, in any form or medium, available on or through the Service, including without limitation through Find Out or other artificial intelligence-related products or features we make available (collectively, “User Content”), you grant to us, and you represent and warrant that you have all rights necessary to grant to us, under all of your intellectual property rights, an irrevocable, worldwide, non-exclusive, perpetual, transferable, fully-paid, and royalty-free right and license (with the right to sublicense through multiple tiers) to use, copy, reproduce, process, adapt, modify, publish, transmit, store, list information regarding, make derivation works of, display, and distribute such User Content and any Output (as defined below) in any and all media or distribution methods now known or later developed. This license authorizes us to make your User Content and Output available to the rest of the world and to let others do the same, and you hereby grant other users a non-exclusive license to access your User Content and Output (as defined below) through the Service, and to use, reproduce, distribute, display and perform your User Content and Output as permitted through the functionality of the Service and under these Terms.
